End User License Agreement

This End User License Agreement ("Agreement") is made between Myelin FZCO ("Licensor") and You, the user of the "Brain Experiment" Application ("Licensee").

By installing, using, or otherwise accessing the Application you agree to the terms of this EULA. If You do not agree to the terms of this EULA or do not wish to be bound by them, please do not install, use or otherwise access the Application

1. License

The Licensor grants the Licensee a non-exclusive, non-transferable, revocable license to use the "Brain Experiment" app, an immersive social experience app for the spatial computing.

2. User Obligations

To use the "Brain Experiment" app, Licensee must provide their FaceTime email. This is a technical requirement for the functionality of the app.

3. Prohibited Actions

Licensor has no tolerance for objectionable content or abusive users. The Licensee is expressly forbidden from engaging in any of the activities specified in the following list. Engaging in these activities may result in the immediate revocation of access to the application at the sole discretion of the Licensor.

• Use the Application in any way that is unlawful, fraudulent, or deceptive.
• Engaging in bullying, intimidating, harassing or any form of abuse towards other users.
• Promoting sexually explicit material, violence or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.
• Uploading, posting, streaming, displaying, or sharing any content that is nude, partially nude, or sexually suggestive, including photos, videos, or audio files.
• Uploading, posting, streaming, displaying, or sharing any content that could be described as “spam,” “chain messages,” “scheme”.
• Encouraging conduct that would constitute a criminal offense, or would give rise to civil liability.
• Submiting inaccurate, false, or misleading reports to us
• Upload, distribute, or otherwise make available any material that is objectionable at the sole discretion of the Licensor.
• Reverse engineering, decompiling, disassembling, or otherwise attempting to discover the source code of the app.
• Use cheats, automation software, bots, or any other unauthorized software designed to modify or interfere with the application and/or any files that are part of the application.
• Use the service to try to gain unauthorized access to any service, data, account or network by any means.
• Attempt to introduce viruses or any other malicious computer code that interrupts, destroys, or limits the functionality of any computer software, hardware, or telecommunications equipment.
• Redistribute, sublicense, rent, publish, perform, sell, assign, lease, market, transfer, or otherwise make the application available to third parties;
• Commercially exploit the application, its design, artwork or any other part of the application.
• Use the application when operating vehicles.
• Access or use the Service in any way not expressly permitted by these Terms.

4. Intellectual Property

All rights, title, and interest in and to the "Brain Experiment" app and its contents are owned by the Licensor. This Agreement does not transfer any intellectual property rights to the Licensee.

5. Disclaimer of Warranties

The "Brain Experiment" app is provided "as is," with all faults, and without warranty of any kind. The Licensor does not guarantee that the app will meet the Licensee’s requirements or operate uninterrupted or error-free.

6. Limitation of Liability

The Licensor shall not be liable for any indirect, special, incidental, or consequential damages, including damages for lost profits, loss of data, or loss of use, injuries or health issues, arising out of or related to the use or inability to use the "Brain Experiment" app, whether such damages arise under a theory of contract, tort, or otherwise.

7. Termination

This Agreement is effective until terminated. It will terminate immediately without notice from the Licensor if the Licensee fails to comply with any provision of this Agreement. Upon termination, the Licensee must cease all use of the app and delete all copies.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States.

9. Privacy Policy

Please review the app's privacy policy at https://myelin.com/together/privacy to understand how the Licensor collects, uses, and shares your data.

10. Downloading the Aplication from Apple App Store

Applies to any application accessed through or downloaded from the Apple App Store:

Licensee acknowledge and agree that this EULA is concluded between Licensor and Licensor only, and not Apple; and Licensor, not Apple, is solely responsible for the Application and content thereof. Licensor’s use of the application must comply with the Apple App Store Terms of Service.

Licensor will use the application only on an Apple-branded product that runs Apple’s proprietary operating system software; and as permitted by the “Usage Rules” set forth in the Apple App Store Terms of Service.

Licensor acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the application.

In the event of any failure of any Application to conform to any applicable warranty, You may notify Apple, and Apple will refund the purchase price for the Application to You and to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App Store Sourced Application.

Licensor and Licensor acknowledge that, in the event of any third party claim that an Application or your possession and use of that Application infringes that third party’s intellectual property rights, as between Licensor and Apple, Licensor, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim to the extent required by this EULA.

Licensor and Licensor acknowledge and agree that Apple and its subsidiaries are third party beneficiaries of this EULA and that upon your acceptance of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA.

By using the Application Licensor represent and warrant that Licensor are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and You are not listed on any U.S. Government list of prohibited or restricted parties.

Without limiting any other terms of this EULA, Licensor must comply with all applicable third party terms of agreement when using the Application.

Signature

By downloading and using the "Brain Experiment" app, the Licensee acknowledges that they have read, understood, and agree to be bound by the terms of this Agreement.
